These Terms & Conditions outline the rules and regulations for engaging Heterochromia Design, a freelance design studio operated by Edoardo Galati, VAT registered in Italy. By submitting an enquiry, accepting a proposal, or commissioning any work, you agree to these terms.

Services

Heterochromia Design provides UI/UX design services, including interface design, product design, Framer website development, design systems, and related creative work. The specific scope for any engagement is defined in a written proposal or Statement of Work agreed upon before the project begins.

Proposals and project confirmation

All proposals are valid for 14 days from the date of issue. A project is considered confirmed only when the client provides written acceptance and the agreed deposit has been received. Work does not begin until both conditions are met.

Payment

Unless otherwise agreed in writing, payment is structured as 40% upfront before work begins and 60% upon delivery of final files. Invoices are due within 14 days of the invoice date. All prices are in EUR and exclusive of VAT IT03980350361, applied where required by Italian law.

Late payments may incur interest in accordance with Italian Legislative Decree 231/2002. The studio reserves the right to pause ongoing work until outstanding invoices are settled.

Revisions and scope

Each proposal specifies the number of revision rounds included. A revision round is a consolidated set of feedback addressed in a single pass. Additional revisions or changes that materially expand the agreed scope will be quoted and invoiced separately at the studio's current rate.

Intellectual property

All work produced remains the intellectual property of Heterochromia Design until full payment is received. Upon final payment, usage rights for the agreed deliverables transfer to the client. The studio retains the right to display all work — including unused concepts — in its portfolio and promotional materials, unless a written confidentiality agreement states otherwise.

Third-party assets included in deliverables (fonts, stock images, plugins) remain subject to their respective licenses. The client is responsible for maintaining valid licenses for such assets after project handoff.

Timeline and delays

Project timelines are estimates based on the agreed scope and the client's timely provision of materials, content, and feedback. The studio cannot be held responsible for delays caused by late client input, scope changes, third-party services, or circumstances outside its control.

If a client is unresponsive for more than 30 consecutive days, the project may be placed on hold or considered abandoned. Restarting the project may require a revised timeline and a rebooking fee.

Confidentiality

All client information shared during a project is treated as confidential and will not be disclosed to third parties without prior written consent. If a formal NDA is required, it must be requested and signed before the project briefing begins.

Limitation of liability

The studio's total liability for any claim arising from a project shall not exceed the total fees paid for that specific project. The studio is not liable for indirect or consequential damages, errors introduced by the client after handoff, compatibility issues with third-party tools outside the agreed scope, or any legal issues arising from client-provided content.

Termination

Either party may terminate an engagement with written notice. In the event of termination, the client is liable for payment of all work completed up to that date. The deposit is non-refundable, as it compensates for time blocked and opportunity cost. Deliverables remain the property of the studio until all outstanding invoices are paid in full.

Governing law

These Terms are governed by Italian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.

Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top of the page will reflect any changes. Continued engagement with the studio after changes are posted constitutes acceptance of the updated terms.
